These Terms of Service ("Terms") govern your access to and use of the PersonaWatch platform (the "Service"), operated by PersonaWatch, LLC ("Company," "we," "our," or "us"). By creating an account or using any part of the Service, you agree to be bound by these Terms.

If you do not agree to these Terms, do not access or use PersonaWatch.

You must be at least 18 years of age to use PersonaWatch. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

5. Uploaded Content and Intellectual Property

5.1 Your Content

You retain all ownership rights in the media and content you upload to PersonaWatch ("Your Content"), including images, videos, headline screenshots, and email screenshots submitted for analysis. By uploading content, you grant us a limited, non-exclusive, temporary license to process, analyze, and display Your Content solely for the purpose of providing the Service to you. This license terminates when Your Content is deleted from our systems.

5.2 Our Intellectual Property

The PersonaWatch platform, including its software, AI models, algorithms, user interface, branding, documentation, and all associated intellectual property, is owned by PersonaWatch, LLC and is protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms.

5.3 Analysis Reports

Reports generated by PersonaWatch based on your uploaded content—including deepfake analysis reports, fact-check results, phishing detection assessments, and SMS spam analysis results—are provided for your use. You may use, share, and submit these reports in connection with investigations, legal proceedings, and professional activities. You acknowledge that reports are generated by automated AI systems and should be reviewed and interpreted by qualified professionals.

6. Subscription and Payment

6.1 Plans and Pricing

PersonaWatch may offer free, trial, and paid subscription tiers with varying scan limits and features. Pricing, plan details, and scan allocations are described on the platform and may be updated from time to time. We will provide notice of pricing changes to active subscribers before such changes take effect.

6.2 Billing

Paid subscriptions are billed on a recurring basis (monthly or annually, as selected). Payment is processed through our third-party payment provider (Stripe, Inc.). By subscribing, you authorize recurring charges to your designated payment method. You are responsible for keeping your payment information current.

6.3 Cancellation and Refunds

You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period. We do not provide prorated refunds for partial billing periods. If you believe you are entitled to a refund due to a billing error or service issue, please contact us within 30 days.

7. Disclaimers and Limitations of Liability

7.1 Analysis Results

PersonaWatch provides AI-powered analysis as an investigative aid. Analysis results, including detection scores, source attribution, fact-check verdicts, phishing risk assessments, and SMS spam risk scores, are probabilistic assessments generated by automated systems. They are not guarantees of authenticity, falsity, legitimacy, or fraud.

Detection accuracy depends on numerous factors including media quality, format, compression, and the specific techniques used to create or modify the content. No AI detection system achieves 100% accuracy, and both false positives and false negatives can occur.

Fact-checking results are generated by multiple independent AI models that query real-time web sources. These results reflect information available at the time of analysis and may be affected by the timeliness, completeness, or reliability of available web sources. Consensus across multiple models increases confidence but does not constitute proof.

Phishing detection results, including claim verification and sender domain analysis, are advisory assessments. They do not replace professional cybersecurity review and should not be the sole basis for reporting, blocking, or taking action against any individual or organization.

You are solely responsible for interpreting and acting upon analysis results. We recommend that results be reviewed by qualified professionals and corroborated with additional evidence before being relied upon in any legal, employment, financial, cybersecurity, or other consequential decision.

7.2 No Legal or Expert Advice

Nothing in the Service constitutes legal advice, expert testimony, or a professional forensic opinion. While PersonaWatch is designed with forensic methodology in mind, the platform is a tool that generates analytical data. The admissibility, weight, and interpretation of analysis results in legal proceedings is a matter for qualified legal counsel and the relevant tribunal to determine.

7.3 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

7.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SIERRA ONE INVESTIGATIONS, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

8. Indemnification

You agree to indemnify, defend, and hold harmless PersonaWatch, LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or the rights of any third party; or (d) any content you upload to the Service.

9. Dispute Resolution

9.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.

9.2 Informal Resolution

Before initiating any formal dispute resolution, you agree to first contact us and attempt to resolve the dispute informally for at least 30 days.

9.3 Arbitration

If informal resolution is unsuccessful, any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in Miami, FL. Judgment on the arbitration award may be entered in any court having jurisdiction.

9.4 Class Action Waiver

YOU AND THE COMPANY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

10. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause and with or without notice, including for violation of these Terms. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including Sections 5.2, 7, 8, 9, and 11) will survive.

You may terminate your account at any time by contacting us or through your account settings. Upon termination, we will delete your account data in accordance with our Privacy Policy.

We may modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the platform and updating the "Last Updated" date. Your continued use of the Service after such changes constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service.

PersonaWatch incorporates certain open-source and third-party technologies in its detection and analysis pipelines. The following notices are provided in compliance with the applicable license terms. These components are used as infrastructure within PersonaWatch's proprietary systems; their inclusion does not imply endorsement by or affiliation with the respective licensors.

PersonaWatch uses the CLIP vision model for image feature extraction within the SARA detection pipeline.
